Cyprus companies must complete their annual beneficial ownership confirmation between 1 October and 31 December 2026. Failure to meet the deadline may result in financial penalties of up to €5,000.
In its announcement dated 16 September 2026, the Department of Registrar of Companies and Intellectual Property reminds companies and other relevant entities of their obligation to confirm the information recorded in the Beneficial Ownership Register.
Who must complete the confirmation?
The announcement covers companies incorporated or registered under the Cyprus Companies Law, Cap. 113, European Public Limited Companies (SEs) and partnerships.
Depending on the circumstances of each entity, the confirmation concerns the details of its Beneficial Owners, Senior Management Officials or the applicable due diligence information.
Is confirmation required if nothing has changed?
Yes. The annual confirmation must be completed even where the beneficial ownership information remains unchanged.
Companies should review their records before submitting the confirmation to ensure that the information accurately reflects their current position. This includes checking beneficial owners’ personal details, residential addresses, ownership percentages and the nature of their ownership or control.
Any outstanding changes should be addressed before completing the annual confirmation.
What if the company is newly incorporated or its details change during the confirmation period?
The Registrar has clarified that where an initial registration, amendment or other action falls within the period from 1 October to 31 December, that action must be completed first, followed by the annual confirmation by 31 December 2026.
This also applies where a newly incorporated or registered entity’s initial submission deadline—90 days from incorporation or registration—falls within the confirmation period. Completing the initial submission does not remove the requirement to complete the annual confirmation.
Is more than one confirmation required?
The annual confirmation is required only once during the confirmation period.
If a change occurs after the confirmation has been completed, no additional annual confirmation is required. However, companies must continue to keep their registry information up to date and submit any necessary amendments.
What are the penalties for missing the deadline?
Failure to complete the confirmation by 31 December 2026 will expose the company or other legal entity to:
€100 for the first day of non-compliance;
€50 for each subsequent day that the non-compliance continues;
A maximum total fine of €5,000.
These financial penalties apply irrespective of any criminal liability or prosecution.
How is the confirmation submitted?
The Beneficial Ownership Register is entirely electronic. Confirmations and updates are submitted through the official UBO Registry portal. For our clients we inform them in advance for this requirement and we do arrange the submission on their behalf.
